TP Commercial Finance Ltd — Platform Terms of Service

1. Introduction and Acceptance
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you” or “your”) and TP Commercial Finance Ltd (“TPCF”, “we”, “us” or “our”), a company registered in England, with its registered office at 5 Garrick Street, London, WC2E 9AR, United Kingdom.
These Terms govern your access to and use of the Turning Point Capital platform, accessible at www.loan-intel.com (the “Platform”), including all features, data, content, tools, and services made available through it.
By registering for an account, accessing, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not register for or use the Platform.
If you are registering on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and all references to “you” shall include that entity.
2. Definitions
In these Terms, unless the context otherwise requires:
- “Contributed Data” means any data, information, or content submitted by you to the Platform, including but not limited to loan book entries, payment status reports, declined application records, insurance details, and parent company information.
- “Aggregated Data” means anonymised, non-identifiable data derived from the combination of Contributed Data from multiple Users, which may include statistical summaries, trend analyses, and market-level indicators.
- “Platform Data” means all data and information made available through the Platform, including data sourced from third-party providers (such as Companies House, HM Land Registry, Experian, CoStar Group, Knight Frank, and the Office for National Statistics), Aggregated Data, and any analyses, scores, or intelligence generated by the Platform.
- “Account” means the registered user account created upon successful registration on the Platform.
- “Authorised User” means any individual authorised by you to access and use the Platform through your Account.
- “Network Notifications” means alerts generated and distributed by the Platform to relevant Users when material events (such as late payments, missed payments, or declined applications) are reported in respect of companies within a shared corporate group or associated SPV network.
3. Eligibility and Registration
3.1 Eligibility
The Platform is designed for use by UK-based specialist lenders, financial institutions, and professional advisors operating in the commercial real estate and specialist lending sectors. By registering, you represent and warrant that:
- You are acting in a professional capacity on behalf of a bona fide lending institution, insurance provider, or professional services firm;
- You are at least 18 years of age and have the legal capacity to enter into these Terms;
- You are duly authorised to act on behalf of the company or entity you are registering;
- All information you provide during registration is accurate, complete, and current.
3.2 Account Approval
Registration does not guarantee access. TPCF reserves the right to approve, reject, or suspend any registration at its sole discretion, without obligation to provide reasons. New accounts may be subject to a trial period, during which TPCF may assess the suitability of your continued access.
3.3 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any API keys issued to you. You must immediately notify us at support@loan-intel.com if you become aware of any unauthorised use of your Account or any other breach of security. TPCF shall not be liable for any loss arising from your failure to safeguard your account credentials.
4. Platform Services
4.1 Service Description
The Platform provides loan book intelligence and analytics services to the UK specialist lending market, including but not limited to:
- Portfolio tracking and analytics for outstanding charges and loan positions;
- Payment monitoring and cross-lender payment intelligence;
- Declined application tracking and market-level decline data;
- Borrower and SPV search and intelligence, including health scoring and risk assessment;
- Corporate group and associated SPV analysis;
- Insurance coverage monitoring;
- Notification and alert services for material events across shared borrower networks;
- Reporting and data export functionality;
- AI-assisted support and platform assistance.
4.2 Service Availability
TPCF shall use commercially reasonable efforts to maintain Platform availability. However, the Platform is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted, error-free, or secure access to the Platform. We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice.
4.3 Pricing
Access to the Platform is currently provided at no charge. TPCF reserves the right to introduce fees or subscription charges for the Platform or any part thereof in the future. Users will be given at least 30 days’ written notice of any introduction of fees.
5. Data Contribution and Sharing
5.1 Contributed Data
By submitting Contributed Data to the Platform, you grant TPCF a non-exclusive, worldwide, royalty-free, perpetual licence to use, store, process, aggregate, anonymise, and analyse such data for the purposes of operating, improving, and developing the Platform and its services. You retain ownership of your Contributed Data.
5.2 Data Ring-Fencing
Your proprietary Contributed Data (including loan book entries, facility amounts, insurance details, and broker information) is ring-fenced within your Account and is not directly visible to other Users. However, certain data you contribute will be made available to other Users in the following circumstances:
- Network Notifications: When you report a late payment, missed payment, arrears, default, or declined application, relevant Users who monitor companies within the same corporate group or associated SPV network will receive an anonymised notification of the event. These notifications identify the nature of the event and the affected company but do not identify you as the reporting lender.
- Aggregated Market Data: Your Contributed Data may be included in anonymised, aggregated datasets available to other Users for market benchmarking and trend analysis. Aggregated Data is presented in a manner that does not identify individual Users or their specific data.
- Platform Intelligence: Your data may be used to generate health scores, risk assessments, and market indicators that are visible to other Users in aggregate form.
5.3 Data Accuracy
You represent and warrant that all Contributed Data is, to the best of your knowledge, accurate, complete, and not misleading. You shall promptly update or correct any Contributed Data that becomes inaccurate. TPCF shall not be liable for any decisions made or actions taken by any party in reliance on inaccurate Contributed Data.
5.4 Withdrawal of Contributed Data
You may delete individual loan book entries, payment records, and decline records from your Account at any time through the Platform. However, you acknowledge that Contributed Data that has already been incorporated into Aggregated Data cannot be individually extracted or removed from those aggregated datasets.
6. Third-Party Data and Sources
The Platform incorporates data from third-party sources including, but not limited to, Companies House, HM Land Registry, Experian, CoStar Group, Knight Frank, and the Office for National Statistics. Such data is provided subject to the terms, limitations, and licensing conditions imposed by those third-party providers.
TPCF does not warrant the accuracy, completeness, timeliness, or reliability of any third-party data. Third-party data is provided for informational purposes only and is subject to change without notice. You are responsible for independently verifying any third-party data before relying upon it for any purpose.
7. Acceptable Use
7.1 Permitted Use
You may use the Platform solely for your internal business purposes in connection with legitimate lending, insurance, or professional advisory activities. You shall not use the Platform for any purpose that is unlawful or prohibited by these Terms.
7.2 Prohibited Conduct
You shall not:
- Share, distribute, or disclose your account credentials, API keys, or access to the Platform with any unauthorised third party;
- Copy, reproduce, redistribute, republish, sell, licence, or commercially exploit any Platform Data, reports, or analytics outside of your organisation without the prior written consent of TPCF;
- Submit false, misleading, or intentionally inaccurate data to the Platform;
- Use the Platform or Platform Data to engage in anti-competitive behaviour, market manipulation, or any activity that would breach applicable financial services regulation;
- Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code, algorithms, or data models underlying the Platform;
- Use automated scraping, data harvesting, or similar programmatic methods to extract data from the Platform, except through officially provided APIs;
- Introduce any virus, trojan, worm, or other malicious code to the Platform;
- Interfere with or disrupt the integrity, performance, or availability of the Platform or its underlying systems;
- Attempt to gain unauthorised access to any other User’s Account or data;
- Use Platform Data to create a competing product or service.
8. Intellectual Property
8.1 Ownership
All intellectual property rights in the Platform — including but not limited to its design, software, source code, algorithms, data models, analytics methodologies, scoring systems, reports, branding, and documentation — are and shall remain the exclusive property of TP Commercial Finance Ltd (“TPCF”) or its licensors. These rights are protected by United Kingdom copyright law, international treaty provisions, and all other applicable intellectual property laws.
Nothing in these Terms grants you any right, title, or interest in such intellectual property, except the limited, non-exclusive, non-transferable right to access and use the Platform strictly in accordance with these Terms.
8.2 Copyright
© 2025–2026 TP Commercial Finance Ltd. All rights reserved. The Platform, its content, structure, and underlying technology are protected by copyright. Unauthorised reproduction, distribution, modification, or creation of derivative works — whether in whole or in part — is strictly prohibited without the prior written consent of TPCF.
8.3 Trade Marks
“Turning Point Capital™”, “TP.™”, “TP.finance™”, and all associated logos, brand marks, and product names are trade marks of TP Commercial Finance Ltd. Trade mark registration applications are in progress in the United Kingdom and other jurisdictions. You may not use, reproduce, or display any of these marks in any manner without the prior written permission of TPCF.
Any goodwill arising from your use of TPCF’s trade marks shall inure solely to the benefit of TPCF.
8.4 Prohibited Acts
Without limiting the generality of the above, you must not:
- Copy, reproduce, or extract any substantial part of the Platform or its data for any purpose not expressly permitted by these Terms.
- Reverse engineer, decompile, or disassemble any part of the Platform.
- Use TPCF’s trade marks, branding, or any confusingly similar marks in connection with any competing product or service.
- Remove, obscure, or alter any copyright, trade mark, or other proprietary notices displayed on the Platform.
- Use the Platform or any data derived from it to build, train, or improve any competing product, service, or machine learning model.
9. Confidentiality
Each party agrees to keep confidential and not to disclose to any third party any confidential information received from the other party in connection with the Platform, except as required by law, regulation, or court order, or with the prior written consent of the disclosing party.
For the avoidance of doubt, Aggregated Data and anonymised market intelligence generated by the Platform shall not be considered confidential information of any individual User.
10. Data Protection and Privacy
10.1 Personal Data
TPCF processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Personal data collected during registration and use of the Platform includes your name, email address, job title, phone number, and usage data (such as search queries, login history, and feature interactions).
10.2 Lawful Basis
We process your personal data on the following lawful bases:
- Contract: Processing necessary for the performance of our contract with you (i.e., providing the Platform services);
- Legitimate Interests: Processing necessary for our legitimate interests in operating, improving, and securing the Platform, provided these interests are not overridden by your rights;
- Consent: Where you have provided explicit consent, such as for marketing communications and email digests. You may withdraw consent at any time.
10.3 Data Storage and Security
All data is stored on servers located in the United Kingdom. We employ industry-standard security measures, including encryption of data at rest and in transit, access controls, and regular security assessments, to protect your data. However, no method of electronic storage or transmission is 100% secure, and we cannot guarantee absolute security.
10.4 Data Subject Rights
Under the UK GDPR, you have the right to:
- Access the personal data we hold about you;
- Request rectification of inaccurate personal data;
- Request erasure of your personal data (subject to our legal obligations and legitimate business interests);
- Object to or restrict the processing of your personal data;
- Data portability (receiving your data in a structured, machine-readable format);
- Lodge a complaint with the Information Commissioner’s Office (ICO).

10.5 Data Retention
We retain your personal data for as long as your Account is active or as needed to provide you with the Platform services. Upon account closure, we will retain your data for a reasonable period to comply with legal obligations, resolve disputes, and enforce our agreements. Contributed Data that has been incorporated into Aggregated Data will be retained in anonymised form.
11. Cookies and Analytics
The Platform may use cookies and similar technologies to maintain session authentication, remember user preferences, and analyse Platform usage. By using the Platform, you consent to the use of essential cookies necessary for Platform functionality. We do not use third-party advertising cookies.
12. Disclaimers and Limitation of Liability
12.1 No Financial Advice
The Platform and all Platform Data, analytics, scores, ratings, and intelligence are provided for general informational purposes only. Nothing on the Platform constitutes financial advice, investment advice, legal advice, or a recommendation or endorsement of any particular lending decision, borrower, or transaction.
Platform Data should not be the sole or primary basis for any lending, credit, investment, or insurance decision. You are solely responsible for conducting your own independent due diligence, risk assessment, and credit analysis before making any decision. You should seek independent professional advice where appropriate.
12.2 No Warranties
To the maximum extent permitted by applicable law, TPCF expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, and timeliness. Without limitation:
- We do not warrant that Platform Data is accurate, complete, current, or error-free;
- We do not warrant that health scores, risk assessments, or other analytics will correctly predict outcomes;
- We do not warrant that the Platform will be available without interruption or free from errors, bugs, or security vulnerabilities;
- We do not warrant the accuracy or completeness of any data sourced from third-party providers;
- We do not warrant the accuracy or completeness of Contributed Data submitted by other Users.
12.3 Limitation of Liability
To the maximum extent permitted by applicable law, TPCF, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of business opportunity, or reputational damage, arising out of or in connection with your use of or inability to use the Platform, regardless of the cause of action or the theory of liability, and even if TPCF has been advised of the possibility of such damages.
TPCF’s total aggregate liability to you for all claims arising out of or in connection with these Terms or your use of the Platform shall not exceed the greater of (a) the total fees paid by you to TPCF in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred pounds sterling (£100).
Nothing in these Terms shall limit or exclude liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be lawfully excluded or limited under the laws of England and Wales.
13. Indemnification
You agree to indemnify, defend, and hold harmless TPCF, its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your breach of these Terms;
- Your use of the Platform or Platform Data;
- Any inaccurate, misleading, or false Contributed Data submitted by you;
- Your violation of any applicable law or regulation;
- Any third-party claim arising from your use of Platform Data in connection with lending, credit, or investment decisions.
14. Suspension and Termination
14.1 By TPCF
TPCF may, at its sole discretion and without prior notice, suspend or terminate your access to the Platform if we reasonably believe that:
- You have breached these Terms or any applicable law or regulation;
- Your use of the Platform poses a security risk or may cause harm to other Users, TPCF, or third parties;
- Your Account has been inactive for an extended period;
- Continued provision of the Platform to you is no longer commercially viable;
- You have submitted false or misleading data to the Platform.
14.2 By You
You may terminate your Account at any time by contacting us at support@loan-intel.com. Upon termination, your access to the Platform will cease, but these Terms shall continue to apply in respect of any accrued rights and obligations and any provisions which by their nature are intended to survive termination (including Sections 5.1, 8, 9, 12, 13, and 16).
14.3 Effect of Termination
Upon termination, TPCF may retain your Contributed Data in anonymised and aggregated form as part of the Platform’s Aggregated Data. Your personal data will be handled in accordance with Section 10.5.
15. Communications
By registering for the Platform, you consent to receiving service-related communications from TPCF, including account notifications, Network Notifications, security alerts, and Platform updates. These communications are essential to the operation of the Platform and cannot be opted out of while your Account remains active.
Where you have separately consented, we may send you marketing communications, product news, and industry updates. You may withdraw your consent to marketing communications at any time by updating your preferences in your account settings or by contacting us at support@loan-intel.com.
16. General Provisions
16.1 Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
16.2 Amendments
TPCF reserves the right to amend these Terms at any time. Material changes will be communicated to you via email or through a notice on the Platform at least 14 days before they take effect. Your continued use of the Platform after the effective date of any amendment constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must cease using the Platform and terminate your Account.
16.3 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and TPCF with respect to the Platform and supersede all prior or contemporaneous agreements, understandings, or representations.
16.4 Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
16.5 Waiver
No failure or delay by TPCF in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy, nor shall any single or partial exercise of any right or remedy preclude any further exercise of that or any other right or remedy.
16.6 Assignment
You may not assign, transfer, or sub-license your rights or obligations under these Terms without the prior written consent of TPCF. TPCF may assign or transfer its rights and obligations under these Terms to any successor entity or acquirer without your consent.
16.7 Third-Party Rights
These Terms do not confer any rights on any third party under the Contracts (Rights of Third Parties) Act 1999.
17. Regulatory Considerations
TPCF is not authorised or regulated by the Financial Conduct Authority (FCA). The Platform does not provide regulated financial services. Nothing on the Platform constitutes a regulated activity within the meaning of the Financial Services and Markets Act 2000.
You are responsible for ensuring that your use of the Platform complies with all applicable laws and regulations, including but not limited to the Consumer Credit Act 1974, the Financial Services and Markets Act 2000, the Data Protection Act 2018, the UK GDPR, and any applicable FCA rules or guidance relevant to your business.
